1. Agreement to these Terms
By accessing or using codelace, you agree to these Terms of Service and to the codelace Privacy Policy and Acceptable Use Policy. If you use codelace on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and accounts
You must be legally capable of entering into a binding agreement to use codelace. You are responsible for providing accurate account information, maintaining the security of your email inbox and API credentials, and all activity that occurs through your account.
You must promptly notify codelace if you believe your account or API keys have been compromised.
3. The service
codelace provides access to inference and related developer tooling, including an OpenAI-compatible API, usage reporting, billing, and account management features. The service may route requests through codelace-managed infrastructure, third-party providers, or fallback routing partners.
Some outputs are generated by third-party model providers. codelace does not guarantee the accuracy, safety, legality, availability, or fitness of model outputs for your use case.
4. Acceptable use
You may use codelace only in compliance with applicable law, these Terms, and the codelace Acceptable Use Policy. You may not use the service to violate the rights of others, interfere with the service, evade security controls, or submit content that you do not have the right to process.
5. Customer data, prompts, and outputs
As between you and codelace, you retain ownership of inputs you submit to the service and rights you may have in outputs returned by the service, subject to applicable law and any third-party provider terms that may apply to the underlying models.
You grant codelace and its subprocessors the limited rights necessary to host, store, transmit, route, process, log, analyze, and display your data solely to provide, secure, support, bill, improve, and enforce the service.
You are responsible for the legality, accuracy, and appropriateness of the data you submit, for obtaining any required notices or consents, and for evaluating whether outputs are suitable for your use case.
6. Billing, trial credit, and prepaid balances
codelace currently operates on a prepaid balance model. You may add a payment method through Stripe, receive promotional trial credit if offered, and purchase prepaid balance through top-ups. Posted minimums, pricing, and promotional terms may change prospectively.
Trial credits are promotional, may be limited to one per account, have no cash value, are non-transferable, and may be withheld or reversed in cases of fraud, abuse, chargeback risk, or policy violations.
Unless codelace states otherwise in writing, prepaid balances are not bank accounts, are not insured, do not accrue interest, and are not refundable except where required by law. You are responsible for any taxes, duties, or similar governmental charges associated with your purchases or use of the service.
7. Payment processing
Payment processing is provided by Stripe and may be subject to Stripe terms, privacy notices, and verification requirements. By submitting a payment method or completing a transaction, you authorize codelace and Stripe to charge the applicable amount and to store or reuse the payment method where permitted for future authorized charges.
8. Service changes, availability, and beta features
codelace may add, modify, suspend, or discontinue any feature, provider, model route, API behavior, or portion of the service at any time. We do not guarantee uninterrupted availability, specific model availability, or error-free operation.
Features labeled alpha, beta, preview, or similar are offered as-is and may change more frequently.
9. Suspension and termination
codelace may suspend or terminate access to all or part of the service if we believe you have violated these Terms, the Acceptable Use Policy, or the law; if your use creates security, fraud, legal, or operational risk; if payments fail; or if continued service is no longer commercially feasible.
You may stop using the service at any time. Sections that by their nature should survive termination will survive, including billing, intellectual property, disclaimers, liability limits, indemnity, and dispute terms.
10. Intellectual property
codelace and its licensors own the service, including the site, software, branding, documentation, and all related intellectual property, except for your data and third-party content. Subject to these Terms, codelace grants you a limited, non-exclusive, non-transferable, revocable right to use the service.
If you provide feedback or suggestions, you grant codelace a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODELACE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
codelace does not warrant that the service will be uninterrupted, secure, accurate, or free of harmful components, or that outputs will be correct, lawful, non-infringing, or suitable for your needs.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODELACE AND ITS AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF CODELACE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID TO CODELACE FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnity
You will defend, indemnify, and hold harmless codelace and its affiliates, officers, directors, employees, and service providers from and against claims, losses, liabilities, damages, judgments, costs, and expenses arising out of or related to your use of the service, your data, your violation of these Terms, or your violation of any law or third-party rights.
14. Export and sanctions compliance
You may not use the service if you are located in, ordinarily resident in, or acting on behalf of a person in a country or region subject to applicable trade restrictions, or if you are otherwise prohibited from receiving the service under applicable export control or sanctions laws.
15. Governing law and disputes
Unless applicable law requires otherwise, these Terms are governed by the laws applicable in the jurisdiction where codelace is organized and operated, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the service will be brought in the courts with competent jurisdiction in that jurisdiction, and each party consents to personal jurisdiction and venue there.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will become effective when posted, unless a later effective date is stated. If you continue to use codelace after the updated Terms take effect, you agree to the revised Terms.
